Terms of Business

These Terms of Business ("Terms") govern the provision of services by Vertical Power Solutions Ltd ("the Company", "we", "our" or "us") to its business clients ("Client", "you" or "your").
By instructing us to provide services or accepting a quotation, proposal or agreement, you acknowledge that you have read, understood and agreed to these Terms.

Business-to-Business Services
Vertical Power Solutions Ltd provides professional ecommerce consultancy and operational support services exclusively to business clients (B2B). We do not provide services directly to retail consumers.

Quotations & Acceptance
Quotations are valid for the stated period. A contract is formed upon written quotation acceptance, signed agreement, written confirmation to proceed, or work commencement. Amendments must be in writing.
Scope of Services
Services are limited to those outlined in the agreed quotation or service agreement. Additional work requested outside this scope requires a revised quotation or separate agreement prior to commencement.
Client Responsibilities
Clients agree to provide accurate data, supply documents promptly, retain account ownership, ensure authorized access, review work in reasonable timescales, and comply with third-party platform terms.
Marketplace Accounts
The client remains legal owner/seller of record. We do not receive sales proceeds, process customer payments, or hold client funds. Admin permissions can be revoked by the client at any time.
Fees & Payment
Invoices are payable within stated periods. Late payments may delay or suspend work. Applicable taxes charged per law.
Changes & Scope
Scope adjustments are accommodated via revised quotes, updated timelines, or separate written agreements.
Confidentiality
Both parties safeguard non-public information during and after the business relationship, disclosing only where legally required.
Intellectual Property
Clients retain pre-existing IP. We retain internal methods/templates. Deliverables are governed by contractual terms.
Third-Party Platforms
Many services relate to third-party marketplaces (e.g., Amazon, eBay). We are not responsible for platform outages, software providers, or third-party operational actions.

No Commercial Guarantee
We deliver professional consultancy based on industry best practices, but performance relies on market variables outside our control (pricing, competition, stock, demand).
We do not explicitly guarantee:
- Sales performance, revenue growth, or profitability
- Product success, Buy Box ownership, or search rankings
Limitation of Liability
Total liability shall not exceed service fees paid for the claim. We are not liable for indirect loss, lost profits, or third-party platform actions.
Termination
Services may be suspended/terminated for non-payment, breach of terms, unlawful instructions, or abusive behavior toward staff.
Data Protection
Personal data is processed strictly in accordance with UK GDPR, Data Protection Act 2018, and our official Privacy Policy.
Complaints
Client concerns are investigated promptly under our transparent multi-step Complaints Procedure available on our website.
Force Majeure & Governing Law
Force Majeure: We are not liable for performance failures resulting from natural disasters, cyber incidents, strikes, internet failures, or platform interruptions beyond reasonable control.
Governing Law: These Terms are governed by and interpreted under the laws of England and Wales, subject to exclusive jurisdiction of their courts.
